Board of Directors of the Company at its meeting held on March 03, 2011 has accorded its approval for alteration of "Other Objects Clause" of the Memorandum of Association to interalia facilitate carrying on business of carriers of passengers and goods by air, sea, surface transport including railways, etc and commencement of new business activities. The Board also approved, obtaining Shareholders approval through Postal Ballot under Section 192A for passing necessary resolutions under section 17 and 149(2A) and other provisions of the Companies Act, 1956.

Pursuant to the approval of the Board of Directors at their meeting held on November 01, 2010, the Shareholders had approved the "Employees Stock Option Scheme 2010", (ESOS-2010). In the said ESOS-2010, a maximum of 2,00,00,000 stock options, convertible into equal number of equity shares of Rs.10 each of the Company were intended to be issued to the present and future employees of the Company and its subsidiaries and also to eligible Directors of the Company from time to time. The Board of Directors of the Company at their Meeting held on February 09, 2011 have decided not to implement the aforesaid ESOS-2010 and has instead decided to implement an alternate scheme i.e. "JSWEL Employees Stock Ownership Plan", through JSW Energy Employees Welfare Trust, by acquiring the requisite number of shares determined as per the scheme from the market from time to time.
