Board of Directors at its meeting held on May 13, 2011, has decided to make application to The Registrar of Companies, Maharashtra, Mumbai to take extension to hold Annual General Meeting (AGM) of the Company for the year ended March 31, 2011 upto December 31, 2011, as required under section 166, 210 and other applicable provisions of Companies Act, 1956. M/s. Jaysynth Anthraquinones Ltd.,(JAL), a Wholly Owned Subsidiary (WOS) of the Company has filed Draft Rehabilitation Scheme (DRS) with Hon'ble Board of Industrial & Financial Reconstruction (BIFR). The DRS includes inter alia amalgamation of M/s. Jaysynth Anthraquinones Ltd.,(JAL) with Jaysynth Impex Ltd. (JIL). The DRS is pending before Hon'ble BIFR. Jaysynth (Europe) Ltd.,(JEL) a Wholly Owned Subsidiary of the Company has increased its Paid-up Capital by issuing further Equity shares of 675,000 of 1/- at par by Private Placement to - (1) Avochem AG-Switzerland and, (2) Dyfarben (USA) Inc. - Michigan, USA. With this issue shareholding of the Company is reduced to 42.55% in paid-up capital of JEL.
