Gujarat Alkalies And Chemicals Ltd. has informed the Exchange that the Board of Directors of the Company has in its Meeting held on October 14, 2008 decided to conduct a Postal Ballot in terms of the provisions of Section 192A and other applicable provisions of the Companies Act, 1956, for seeking the approval of the Members of the Company for the following: (1) A Special Resolution pursuant to Section 17 of the Companies Act, 1956 for insertion of Sub-Clause No. 66 after the existing Clause No. 65 of Part "C" of Clause III 'Other Objects' of the Memorandum of Association (MoA) of the Company; and (2) A Special Resolution pursuant to Section 149 (2A) of the Act for commencing and carrying on all or any of the new business/ activities specified in newly introduced Sub-Clause 66 of Part 'C' of Clause III 'Other Objects' of MoA of the Company. The Company has appointed Shri Devesh A Pathak, Practicing Company Secretary, to act as the Scrutinizer for conducting the Postal Ballot Process in respect of the Resolution referred to hereinabove. Further company has submitted a copy of calendar of events for conducting the Postal Ballot process.
