Ltd. has informed the Exchange that the members of the Company had at the Annual General Meeting held on September 24, 2009 unanimously passed an Ordinary Resolution, in pursuance of Section 94(I)(e) of the Companies Act, 1956, for the cancellation of 20,88,786 equity shares which had not been taken up/ agreed to be taken up by any person. Ltd. has informed the Exchange that pursuant to Section 192A(2) of the Companies Act, 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001 ("Rules"), the resolutions below are proposed to be passed as Special/ Ordinary Resolutions, as the case may be, by way of voting by Postal Ballot : (1) Alteration in Clause III (c) - "Other Objects Clause" of the Memorandum of Association of the Company. (2) Commencement of new Businesses / Activities specified in Sub-Clauses (27) & (28) proposed to be inserted. (3) Contribution to Charitable and other funds in excess of the limit laid down in Section 293(1)(e) of the Companies Act, 1956. The Company has appointed Shri Devesh A. Pathak, Practicing Company Secretary, as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner. The duly completed postal ballot form should reach the Scrutinizer on or before the close of working hours on December 15, 2008. The Scrutinizer will submit his report to the Chairperson & Managing Director of the Company. The results of the Postal Ballot will be announced by the Chairperson & Managing Director of the Company on January 03, 2009. Ltd. has informed the Exchange that the Board of Directors of the Company has in its meeting held on September 25, 2008 decided to conduct a Postal Ballot in terms of the provisions of Section 192A and other applicable provisions of the Companies Act, 1956, for seeking the approval of the members of the Company for the following: i) A Special Resolution pursuant to Section 17 of the Companies Act, 1956 for insertion of Sub Clause Nos. (27) & (28) after the existing Clause No. (26) of Part 'C' of Clause III 'Others Objects' of the Memorandum of Association of the Company; ii) A Special Resolution pursuant to Section 149 (2A) of the Act for commencing and carrying on all or any of the new businesses specified in newly introduced sub clause (27) and (28) of Clause III (C) of MoA of the Company; and iii) An Ordinary Resolution pursuant to Section 293(1) (e) of the Companies Act, 1956 for making contributions / donations to charitable and other funds not directly relating to the business of the Company upto Rs.99.30 Crores.
