Pursuant to Section 192A of the Companies Act, 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001, the approval of the shareholders by way of an Ordinary Resolution is required to be obtained through postal ballot to approve the transfer of Advisory Business of the Company to its wholly owned subsidiary company CRISIL MarketWire Limited. The Board of Directors have appointed Dr. K. R. Chandratre, a Practicing Company Secretary, as Scrutiniser for conducting the Postal Ballot voting process in a fair and transparent manner. The duly completed postal ballot form should reach the Scrutiniser on or before April 19, 2007. The results will be announced at the Annual General Meeting of the Company to be held on April 27,2007.
