Compensation Committee of the Board at its meeting held on November 01, 2011, has approved the following : (1) The issue of 42,700 stock options to the employees of the Company under Orchid ESOP - Senior Management 2011 Scheme. The said stock options are to be issued at par and are convertible into equity shares of Rs. 10/- each; (2) The issue of 3,00,000 stock options to the Directors of the Company under Orchid ESOP - Directors 2011 Scheme. These options are convertible into equity shares of Rs. 10/- each at a price of Rs. 166.15 per share. Further, the Compensation Committee of the Board and the Board of Directors at their meetings held on November 01, 2011 have approved the repricing of 8,64,500 options granted to employees on October 28, 2010 under Orchid ESOP 2010 Scheme, from Rs. 329.55 to Rs. 166.15 per share, subject to the shareholder's approval and other consents as may be required.
